These Terms of Service ("Terms") govern your access to and use of kariux.com, app.kariux.com (the "Client Portal"), and any related services provided by Kariux ("Kariux," "we," "us," or "our"), including web development, branding and design, digital marketing, SEO and content, AI solutions, cloud and DevOps, e‑commerce, IoT and embedded development, and any subscription plans such as Launch, Growth, or Scale (collectively, the "Services").

By accessing our Sites, submitting a form, registering for the Client Portal, or purchasing a Service, you agree to be bound by these Terms. If you do not agree, do not use our Sites or Services.

1. Eligibility

You must be at least 18 years old and have the authority to bind the business or organization you represent in order to use our Services or enter into an agreement with Kariux.

2. Our Services

Kariux provides digital agency services on a project or subscription basis, as described on our Sites or in a separate statement of work, proposal, or order form ("Order"). Specific deliverables, timelines, and fees for each engagement will be set out in the applicable Order, which forms part of the agreement between you and Kariux together with these Terms. In the event of a conflict between an Order and these Terms, the Order controls with respect to that specific engagement.

3. Accounts and the Client Portal

  • You may need to create an account to access the Client Portal, view project status, or manage a subscription plan.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You agree to provide accurate, current, and complete information when registering and to keep it up to date.
  • We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or unlawful activity.

4. Subscription Plans, Fees, and Payment

  • Subscription plans (e.g., Launch, Growth, Scale) are billed monthly in advance, in US Dollars, unless otherwise agreed in writing.
  • Fees are as listed on our Pricing page at the time of purchase or as set out in your Order, and may change with reasonable advance notice for future billing cycles.
  • Payments are processed via a third-party payment processor. By providing payment information, you authorize us (or our processor) to charge the applicable fees on a recurring basis until the subscription is cancelled.
  • Except as required by law or as expressly stated in an Order, fees already paid are non-refundable.
  • Late or failed payments may result in suspension of Services until resolved.
  • You are responsible for any applicable taxes, unless we are legally required to collect them.

4.1 Cancellation

You may cancel a subscription at any time through the Client Portal or by contacting hello@kariux.com. Cancellation will take effect at the end of the then-current billing period, and no partial refunds will be issued for the remainder of that period unless otherwise required by law.

5. Intellectual Property

5.1 Kariux Materials

All content on our Sites  including text, graphics, logos, the Kariux name and brand, templates, methodologies, and software  is owned by or licensed to Kariux and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our Sites or materials without our prior written consent.

5.2 Client Deliverables

Unless otherwise specified in an Order, upon full payment of all applicable fees, Kariux assigns to the client ownership of final deliverables created specifically for that client under the engagement (e.g., final website code, brand assets, or marketing creative), excluding any pre-existing Kariux tools, frameworks, templates, or general know-how, which remain the property of Kariux and are licensed to the client for use in connection with the deliverables.

5.3 Portfolio Rights

Unless a client requests confidentiality in writing, Kariux may showcase completed work (including case studies, screenshots, and general project descriptions) in its portfolio and marketing materials.

5.4 Third-Party and AI Tools

Our Services may involve the use of third-party platforms, frameworks, or AI tools (as referenced on our Technologies pages). Use of such tools is subject to the applicable third-party terms, and Kariux makes no representations regarding the intellectual property policies of those third parties.

6. Acceptable Use

You agree not to:

  • Use our Sites or Services for any unlawful, fraudulent, or harmful purpose;
  • Attempt to gain unauthorized access to our systems, the Client Portal, or other users' accounts;
  • Interfere with or disrupt the integrity or performance of our Sites or Services;
  • Use our Services to build a product or service that directly competes with Kariux without our consent;
  • Submit content that infringes the intellectual property or privacy rights of others.

We reserve the right to suspend or terminate access for any user who violates this section.

7. Client Responsibilities

To enable us to deliver the Services, you agree to:

  • Provide timely feedback, approvals, and access to necessary materials, accounts, or systems;
  • Ensure that any content, brand assets, or data you provide to us do not infringe third-party rights;
  • Designate an authorized point of contact for approvals under each engagement.

Delays caused by incomplete or late client input may affect project timelines and are not the responsibility of Kariux.

8. Disclaimers

Our Sites and Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific business outcomes, rankings, traffic, conversion rates, or revenue results from marketing, SEO, or growth Services, as these depend on factors outside our control.

9. Limitation of Liability

To the maximum extent permitted by law, Kariux and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of our Sites or Services. Our total aggregate liability for any claim arising out of or relating to these Terms or an Order will not exceed the fees paid by you to Kariux for the Services giving rise to the claim during the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Kariux from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of the Services, or infringement of third-party rights through content or materials you provide to us.

11. Confidentiality

Each party agrees to protect the other party's non-public business, technical, or financial information disclosed during an engagement, and to use it only for purposes of performing under these Terms and any applicable Order, unless disclosure is required by law.

12. Term and Termination

  • These Terms remain in effect while you use our Sites or Services.
  • Either party may terminate an ongoing engagement in accordance with the terms of the applicable Order, or, where no Order specifies otherwise, with 30 days' written notice.
  • We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees when due, or engage in conduct that we reasonably believe is harmful to Kariux or other users.
  • Sections relating to intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, unless a separate Order specifies a different governing law for a particular engagement (for example, for UK-based clients). Any disputes arising under these Terms will be resolved in the courts of competent jurisdiction located in Delaware, USA, unless otherwise agreed in writing.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date, and, where appropriate, communicated via email or the Client Portal. Continued use of our Sites or Services after changes take effect constitutes acceptance of the revised Terms.
